These Subscription Terms (hereinafter referred to as “the Terms”) govern your purchase and use of the premium subscription services (hereinafter referred to as “the Subscription Services”) offered through the HoliPixAI application (hereinafter referred to as “the Application”). By purchasing or subscribing to any of the Subscription Services, you (hereinafter referred to as “the Subscriber”) agree to be bound by these Terms, as well as the User Agreement and Privacy Policy for HoliPixAI, which are incorporated herein by reference. If you do not agree to any part of these Terms, the User Agreement, or the Privacy Policy, you must not purchase or use the Subscription Services. The Subscription Services are provided on an “as is” and “as available” basis, and your use of the Subscription Services is at your own risk.
To purchase or use the Subscription Services, you must meet the eligibility requirements set forth in the User Agreement for HoliPixAI, including being of legal age to enter into a binding agreement under applicable laws. By subscribing to the Subscription Services, you represent and warrant that you meet all eligibility requirements and that all information you provide in connection with your subscription (including payment information) is true, accurate, and complete. You further warrant that you have the legal authority to use the payment method you provide to purchase the Subscription Services. Minors may only subscribe to the Subscription Services with the supervision and consent of a parent or legal guardian, who shall be responsible for all charges and compliance with these Terms.
HoliPixAI offers a variety of Subscription Services plans, which may include monthly, annual, or other periodic subscriptions, as displayed within the Application from time to time. The pricing for each Subscription Plan is clearly indicated within the Application at the time of purchase, and may be subject to change at the sole discretion of the developer of HoliPixAI (hereinafter referred to as “the Developer”). Any changes to pricing will be posted within the Application in advance, and will not apply to any active subscriptions you have already purchased. All subscription charges are non-refundable, except as expressly provided in these Terms.
The Subscription Services grant you access to premium features of the Application, which may include, but are not limited to, unlimited generation of holiday-themed images, exclusive holiday themes and scene templates, ad-free usage, high-resolution image downloads, and priority customer support. The specific features included in each Subscription Plan are displayed within the Application, and the Developer reserves the right to modify, add, or remove premium features at any time, without prior notice, provided that such changes do not materially reduce the overall value of the Subscription Services during the term of your active subscription.
When you purchase a Subscription Service, you authorize the Developer to charge the full subscription fee to the payment method you provide at the time of purchase. Payment is due in full at the time of subscription activation, and you agree to pay all applicable fees associated with your subscription. The Developer uses secure third-party payment processors to handle all payment transactions, and the Developer does not store your payment information. Your payment information is subject to the privacy policy and terms of service of the third-party payment processor.
All subscription fees are charged in the currency displayed within the Application at the time of purchase, and you are responsible for any applicable taxes, fees, or charges imposed by your bank, credit card issuer, or local authorities in connection with your subscription purchase. The Developer shall not be liable for any currency conversion fees or other charges incurred by you in connection with the payment of subscription fees.
All Subscription Services are set to auto-renew by default, unless you disable auto-renewal at least 24 hours before the end of your current subscription term. If auto-renewal is enabled, your subscription will automatically renew for the same term (e.g., monthly, annual) as your current subscription, and the full subscription fee for the renewal term will be charged to your payment method on file at the end of the current term. You will receive a notification within the Application and/or via email (if you have provided one) prior to the auto-renewal date, reminding you of the upcoming renewal and the applicable fee.
You can disable auto-renewal at any time by accessing the subscription settings within the Application or through your device’s app store settings. Disabling auto-renewal will not cancel your current subscription; it will only prevent your subscription from renewing automatically at the end of the current term. Your Subscription Services will remain active until the end of the current term, and you will not be refunded for any unused portion of the subscription fee.
You may cancel your Subscription Service at any time, but cancellation will not take effect until the end of your current subscription term. To cancel your subscription, you must disable auto-renewal as described in Section 11, or follow the cancellation instructions provided within the Application or through your device’s app store settings. Upon cancellation, your access to the Subscription Services will terminate at the end of the current subscription term, and you will not be refunded for any unused portion of the subscription fee, except in cases where the Developer is required by law to provide a refund.
The Developer reserves the right to cancel your Subscription Service at any time, without prior notice, for any reason, including but not limited to your violation of these Terms, the User Agreement, or the Privacy Policy; your failure to pay any subscription fees; your use of the Subscription Services for illegal or unauthorized purposes; or any fraudulent or deceptive activity associated with your subscription. If the Developer cancels your subscription for any of these reasons, you will not be refunded for any unused portion of the subscription fee, and you may be prohibited from purchasing any future Subscription Services.
Upon successful purchase of a Subscription Service, you will have access to the premium features of the Application for the duration of your active subscription term. The Developer grants you a limited, non-exclusive, non-transferable, and revocable license to use the Subscription Services for your personal, non-commercial use only. You agree not to share your subscription access with any third party, including but not limited to sharing your device, account (if applicable), or login credentials (if any). Sharing subscription access is a violation of these Terms, and may result in the cancellation of your subscription without refund.
The Developer reserves the right to suspend or terminate your access to the Subscription Services at any time, without prior notice, if the Developer suspects any unauthorized use, sharing, or abuse of the Subscription Services. The Developer shall not be liable for any loss or damage resulting from the suspension or termination of your access to the Subscription Services in accordance with these Terms.
The Subscription Services do not involve the collection, storage, processing, or use of any face information from the photos you upload or take using the Application. This applies to both free and premium users of HoliPixAI. Even if the photos you use to generate holiday-themed images contain human faces, the Application and Subscription Services do not extract, analyze, or retain any facial features or face-related data. The AI technology used in the Subscription Services is solely focused on applying premium holiday themes and scene templates to the overall image, and does not perform any face recognition, face detection, or face analysis functions. No face information is ever collected or used in connection with the Subscription Services, and no such information is ever shared with any third parties.
The Developer reserves the right to modify, update, or discontinue any aspect of the Subscription Services at any time, without prior notice, including but not limited to changing premium features, subscription plans, pricing, or terms of use. If the Developer makes material changes to the Subscription Services that significantly reduce their value, the Developer will notify you within the Application and/or via email (if you have provided one) at least 30 days in advance of the changes taking effect. You may cancel your subscription within that 30-day period if you do not agree to the changes, and you will not be charged for any future subscription terms. However, you will not be refunded for any unused portion of your current subscription term.
The Subscription Services are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. The Developer disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Developer does not warrant that the Subscription Services will be error-free, uninterrupted, or free of viruses or other harmful components, or that the premium features will meet your expectations or requirements. The quality of the generated images may vary depending on the quality of the original photos you upload or take, and the Developer shall not be liable for any dissatisfaction with the generated images or the Subscription Services.
In no event shall the Developer be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, data, or other intangible losses, arising out of or in connection with your purchase or use of the Subscription Services. This limitation of liability applies regardless of whether the damages are caused by negligence, breach of contract, breach of warranty, or any other legal theory, even if the Developer has been advised of the possibility of such damages.
The Developer shall not be liable for any damages arising from your violation of these Terms, the User Agreement, or the Privacy Policy, including but not limited to damages resulting from unauthorized use or sharing of the Subscription Services, or from uploading or generating illegal or infringing images. You agree to indemnify and hold harmless the Developer from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your purchase or use of the Subscription Services, your violation of these Terms, or your infringement of any third-party rights.
These Terms are subject to the User Agreement and Privacy Policy for HoliPixAI, which are incorporated herein by reference. In the event of a conflict between these Terms and the User Agreement or Privacy Policy, these Terms shall prevail with respect to matters relating to the Subscription Services. Any provisions of the User Agreement or Privacy Policy that are not in conflict with these Terms shall remain in full force and effect.
The Developer reserves the right to modify or update these Terms from time to time, at its sole discretion, to reflect changes in the Subscription Services, applicable laws, or industry practices. Any changes to these Terms will be posted within the Application, and the updated version will take effect immediately upon posting. Your continued use of the Subscription Services after any changes to these Terms have been posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically to stay informed of any updates.
